These Terms & Conditions (hereinafter referred to as the “Terms” or “Terms of Use”) shall govern the relationship between us. This website is owned and operated by:

Silicom Denmark A/S specializes in the sale of FPGA boards and related solutions. FPGA solutions are a combination of hardware and IP solutions. Our offerings cater to a global audience, with shipments originating from Denmark and reaching customers worldwide. We operate on EXW (Ex Works) shipping terms, ensuring reliable delivery. At Silicom Denmark A/S, we are committed to providing top-tier FPGA hardware solutions tailored to your needs. In these Terms, our hardware products are referred as “Product(s)”, while IP solutions are referred as “IP Solutions”.
Please read these Terms carefully, as these, along with our Warranty Policy, License Terms, Return Policy, Cookie Policy, and Privacy Policy statement forms the entire agreement between you and Silicom Denmark.
Additionally, whenever you make a purchase of our Product or Solution, the same is governed by our Warranty Policy, License Terms, and Return Policy, and how we collect, use, store, share and transmit your data is governed by our Cookie Policy and Privacy Policy statement. These Terms & Conditions shall be read in conjunction with our Warranty Policy, License Terms, Return Policy, Cookie Policy, and Privacy Policy statement.
1. ACCEPTANCE OF THE TERMS & CONDITIONS
By accessing or using our website or Products in any way, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:
i. You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at the website.
ii. You are of sound mind, at least 18 years in age, and otherwise competent to form a binding contract with us. Our website is offered and available to users who are at least 18 years of legal age to form a binding contract. If you are under 18, you are not permitted to use the website. By using the website, you represent and warrant that you meet all of the foregoing eligibility requirements.
iii. You have read, understood, and consented to our Warranty Policy, License Terms, Return Policy, Cookie Policy, as well as our Privacy Policy statement.
2. USE OF THE SITE AND PRODUCTS
i. Allowed uses:
a) Product Use: Our Products (Silicom hardware products) are intended for use exclusively with our IP Solutions (Silicom IP Solutions), as specified in our License Terms. Any unauthorized use or modification of our products may result in a breach of warranty and other legal consequences.
b) License: When you purchase our Products, you are granted a limited license to use the Products with Silicom hardware, as specified in our License Terms. This license is non-transferable and non-sublicensable.
c) Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the Site, or while using our Products or Solutions.
d) Compliance: Users must adhere to all terms and conditions outlined in the License Terms provided by Silicom Denmark A/S. Any usage of the Products that contravenes these terms may result in the revocation of the license and legal consequences.
e) Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. All this collected information will be dealt in accordance with our Privacy Policy statement.
f) Material: For the purposes of these Terms, “material” shall mean any text, photo, sound material, or product listed on the website or on the products, whether a copyright of Silicom Denmark, its licensors or any third party. You are not allowed to download or print the material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the material appearing on the website. You must not reproduce any part of the website or the material or transmit it to or store it in any other website or disseminate any part of the material in any other form, unless we have indicated that you may do so.
ii. Restricted uses:
a) Unauthorized use of Silicom Denmark A/S Products, including but not limited to use with non-Silicom hardware, reverse engineering, modification, or redistribution, is strictly prohibited and may lead to legal action.
b) You must not use our Products or our copyright or design or trademark in connection with any obscene, defamatory, violent, immoral, or illegal purposes or post.
c) You cannot use our Site or purchase our Products for the purpose of resale without our express permission.
d) You cannot breach or circumvent or attempt to break or circumvent our authentication and security processes and measures of our systems or networks.
e) You must not misuse or interfere with the website or try to access them using a method other than the interface and the instructions that we provide. You may use the website and our Products only as permitted by law and as per the directions provided by us.
f) You must not:
• republish material from this website;
• sell, rent or sub-license material from the website;
• show any material from the website in public without our consent;
• edit or otherwise modify any material on the website (other than editing your own information as per the method provided);
• reproduce, duplicate, copy or otherwise exploit material on our website for a commercial purpose; or
• redistribute material from the website, except for content specifically and expressly made available for redistribution with our written consent and according to our terms;
• infringe or violate our Intellectual Property Rights or Intellectual Property Rights of our licensors or any third party;
• We reserve the right to restrict your access to any areas of our website, or indeed our whole website, at our discretion.
g) You must not use our website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
h) You must not use our website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit, or other malicious computer software.
i) You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website, without our express written consent.
3. OWNERSHIP RIGHTS
a) Intellectual Property: Silicom Denmark A/S retains all intellectual property rights associated with its website, domain, Products, IP Solutions, and related content, including but not limited to trademarks, copyrights, patents, trade secrets, and any other proprietary information.
b) License for Use: Silicom Denmark A/S grants users a limited and non- transferable license to access and use the website and its content solely for personal or internal business purposes. This license does not grant any rights to modify, reproduce, distribute, or create derivative works from the website or its content without express written consent.
c) Restrictions: Unless explicitly agreed upon in written form by both parties, the Buyer is prohibited from engaging in the following actions: (a) manufacturing or commissioning the manufacture of any products or services that utilize Silicom Denmark’s intellectual property;
(b) modifying or enhancing the Product(s) or any associated intellectual property without authorization; (c) disassembling, decompiling, reverse engineering, or creating derivative works from the Product(s) or their intellectual property; (d) distributing, sublicensing, or transferring the source code, trade secrets, or confidential information contained within the Product(s) or any derivatives to third parties; and (e) using Silicom Denmark’s trademarks or similar marks for marketing, sales, or any other commercial purposes.
d) Product Ownership: Silicom Denmark A/S Products are the exclusive property of Silicom Denmark A/S. Ownership of the hardware Products themselves, including any associated intellectual property, remains with Silicom Denmark A/S. However, Silicom Denmark A/S is not the owner of the individual components used in the construction of its hardware products. These components, while assembled and integrated into Silicom Denmark A/S’s products, may have their own respective owners and intellectual property rights.
e) Third-Party Rights: Silicom Denmark A/S respects the intellectual property rights of third parties. Users are expected to do the same when using the website and hardware and IP Products. Any infringement of third-party rights is the sole responsibility of the user.
f) User-Generated Content: Users may contribute content to the website, such as reviews or comments. By submitting such content, users grant Silicom Denmark A/S a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and distribute that content for marketing and promotional purposes.
g) Protection of Rights: Silicom Denmark A/S reserves the right to take legal action against any unauthorized use, reproduction, or distribution of its intellectual property or Products.

You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you may be taken to such third-party website, and you get out of the jurisdiction of our website. Therefore, you shall be governed by the legal policies of such third-party websites and we suggest that you read those policies. In case of any damage due to such action of third-party links or inaccuracy of content or information, Silicom Denmark shall not be responsible.
6. PRICING AND TAXES
a) Current Prices: All prices provided in Silicom Denmark A/S’s price quote(s) are considered current prices. Price quotes are valid for such term as stated in the price quote.
b) Price Adjustments: Silicom Denmark A/S reserves the right, by providing prior notice to the Buyer before delivery, to increase the price of the Product(s) to reflect any additional costs incurred by Silicom Denmark A/S due to factors beyond its reasonable control. These factors may include, but are not limited to, foreign exchange fluctuations, currency regulations, alterations of duties, significant increases in labor, materials, or manufacturing costs, changes in delivery dates, quantities, or specifications requested by the Buyer, or delays caused by the Buyer’s instructions or failure to provide adequate information or instructions.
c) Taxation Responsibilities: Prices quoted by Silicom Denmark A/S do not include any privilege, occupation, personal property, value-added tax (VAT), excise tax, use tax, or other taxes, tariffs, or customs duties. The Buyer is responsible for all such taxes and duties, whether or not they have been invoiced by Silicom Denmark A/S.
d) Withholding Taxes: If the Buyer is required to withhold taxes on payments made to Silicom Denmark A/S, the Buyer is obligated to furnish all relevant documentation to Silicom Denmark A/S concerning such withholding.
7. ORDER CONFIRMATION AND SPECIFICATIONS
a) Order Acceptance: No order submitted by the Buyer shall be considered accepted by Silicom Denmark A/S unless and until it is confirmed in writing by Silicom Denmark A/S’s order handling representative.
b) Accuracy of Information: The Buyer is responsible for ensuring the accuracy of the terms of any order, including any applicable specifications, submitted to Silicom Denmark A/S. Additionally, the Buyer must provide Silicom Denmark A/S with all necessary information related to the Product(s) in a timely manner to enable Silicom Denmark A/S to perform the agreement according to its terms.
c) Product Details: The quantity, quality, description, and specifications for the Product(s) shall be in accordance with the details provided in Silicom Denmark A/S’s quotation (if accepted by the Buyer) or the Buyer’s order (if accepted by Silicom Denmark A/S).
d) Buyer’s Specifications: If the Product(s) are to be manufactured or processed by Silicom Denmark A/S based on specifications provided by the Buyer, the Buyer shall indemnify Silicom Denmark A/S against any losses, damages, costs, or expenses incurred by Silicom Denmark A/S in connection with claims of infringement of patents, copyrights, designs, trademarks, or other intellectual property rights resulting from the use of the Buyer’s specifications.
e) Binding Information: All information regarding design, weight, dimensions, capacity, technical specifications, and more, as presented in catalogs, brochures, advertisements, illustrations, and price lists, is binding only to the extent expressly referred to in Silicom Denmark A/S’s order confirmation.
8. SHIPMENT TERMS
a) Shipping Origin: Silicom Denmark A/S ships its Products from Denmark to destinations worldwide, subject to the restrictions outlined herein. b) Dispatch Time: The dispatch time for orders depends on the availability of the products in stock. If the product is in stock, the general time to dispatch is 14 days from the date of the order.
c) Worldwide Shipment: Silicom Denmark A/S offers worldwide shipment services to customers, with the exception of countries under embargoed and sanctions restrictions. Customers are responsible for ensuring that their orders comply with their country’s import regulations.
d) EXW Shipment Terms: All shipments from Silicom Denmark A/S are conducted on Ex Works (EXW) terms. This means that once the products are made available for pickup by the carrier at our premises, the risk and responsibility for transportation and associated costs transfer to the customer.
e) Delivery Date: If any date of delivery is specified by Silicom Denmark, that is an estimate only. Time for delivery shall not be of the essence of the contract and while every reasonable effort will be made to comply with such dates, compliance is not guaranteed and the buyer shall have no right to damages or to cancel the order for failure for any cause to meet any delivery date stated. f) Shipping Costs: Customers are responsible for all shipping costs associated with their orders, including import duties, taxes, and any other fees imposed by their respective countries.
g) Delivery Responsibility: Silicom Denmark A/S is not responsible for any delays or issues that may arise during the transportation of products after they have been dispatched. Customers should liaise with the chosen carrier for any delivery-related matters.
h) Delivery Confirmation: Customers are encouraged to inspect the products upon delivery and report any visible damage or discrepancies to the carrier and Silicom Denmark A/S within a period of 14 days from the date of delivery. Refer to our Warranty Policy for information on the process of addressing damaged or incorrect shipments.
i) Return Subject to Return Policy: Any returns of products are subject to the terms and conditions outlined in our Return Policy.
9. COMPLIANCE WITH EXPORT AND REGULATORY REQUIREMENTS
The Buyer is obligated to adhere to all relevant laws, regulations, and guidelines governing the export, import, re-export, or re-import of the Product(s) and any resulting work. This includes the acquisition of all necessary licenses, permits, and approvals. Furthermore, at the reasonable request of Silicom Denmark A/S, the Buyer must furnish essential assistance and information to ensure Silicom Denmark A/S’s compliance with export controls, encompassing details concerning end-users and the intended use of the Product(s). Any legislative or regulatory demands that necessitate action or duty payments related to the Product(s) must be promptly communicated by the Buyer to Silicom Denmark A/S. Silicom Denmark A/S reserves the right to restrict the sale of Product(s) in specific geographic regions due to contractual agreements or government restrictions. The Buyer bears full responsibility, at their own expense, for ensuring that Silicom Denmark A/S’s Products conform to the national laws of the countries where they are marketed or utilized. In case of any claims, losses, or fines arising from the Buyer’s non- compliance with this section, the Buyer is liable to indemnify Silicom Denmark A/S.
10. OWNERSHIP AND TITLE
a) Title Retention: Until full payment has been received in cash or cleared funds for the purchased Product(s) and all outstanding sums due from the Buyer to Silicom Denmark A/S have been settled, the title and right of ownership in the Product(s) shall remain with Silicom Denmark A/S.
b) Fiduciary Agent: During the period when ownership remains with Silicom Denmark A/S, the Buyer shall act as a fiduciary agent and bailee for Silicom Denmark A/S. The Buyer is required to keep the Product(s) separate from its own and third parties’ assets. Additionally, the Buyer must ensure proper storage, protection, and insurance of the Product(s) while clearly identifying them as the property of Silicom Denmark A/S.
c) Resale and Proceeds: While ownership is retained by Silicom Denmark A/S, the Buyer is allowed to resell or use the Product(s) within the normal course of its business. However, the Buyer agrees to account to Silicom Denmark A/S for the proceeds of such sales or use, including insurance proceeds, to the extent that they are equivalent to the invoice value of the Product(s). These proceeds must be kept separate from the Buyer’s and third parties’ funds.
d) Repossession Rights: Silicom Denmark A/S reserves the right to request the Buyer to return the Product(s) at any time until ownership is transferred to the Buyer. If the Buyer fails to comply, Silicom Denmark A/S may enter the premises where the Product(s) are stored to repossess them. e) No Security Interest: The Buyer is not permitted to pledge or use the Product(s) as security for any indebtedness while they remain the property of Silicom Denmark A/S. Any such action will result in all outstanding amounts owed by the Buyer to Silicom Denmark A/S becoming immediately due and payable.
f) Returns: It’s important to note that this section does not grant the Buyer the right to return the Product(s) to Silicom Denmark A/S, except as explicitly provided in Return Policy or as agreed upon in writing between Silicom Denmark A/S and the Buyer.
11. PRODUCTS AND IP SOLUTIONS DISCLAIMER
a) IP Solutions Use: Silicom Denmark A/S provides its IP Solutions for specific use with the Silicom hardware products. These IP Solutions are intended to enhance the functionality and capabilities of Silicom hardware. The use of these IP Solutions with non-Silicom hardware may result in unpredictable outcomes, reduced performance, or damage to the hardware.
b) Compatibility: Silicom Denmark A/S recommends using its IP Solutions exclusively with Silicom hardware, as specified in our License Terms. Compatibility with other hardware components is not guaranteed, and any such usage is at the user’s own risk.
c) No Warranty for Non-Silicom Hardware: Silicom Denmark A/S does not provide any warranty or guarantee for the performance or compatibility of its IP Solutions with non-Silicom hardware unless such an arrangement is individually agreed upon with Silicom Denmark. Any damage or issues resulting from the use of our IP Solutions with non-Silicom hardware are not covered by our Warranty Policy.
d) Product Customization: Users are advised against modifying or altering Silicom Denmark A/S hardware Products unless explicitly permitted in the License Terms. Unauthorized modifications may void any existing warranties and could lead to product malfunction or damage.
e) Disclaimer of Consequential Damage: Silicom Denmark A/S shall not be liable for any consequential or collateral damage resulting from the use of its any of its Products or IP Solutions, including but not limited to lost data, lost profits, or damage to other equipment.
f) Product Specifications: Product specifications and compatibility information are subject to change without notice. Silicom Denmark A/S is not responsible for any discrepancies between product descriptions and actual performance.
12. GENERAL DISCLAIMER
a) Accuracy of Information: While we make every effort to ensure the accuracy and timeliness of the information on our website and in our communications, we do not guarantee its completeness or reliability. Silicom Denmark A/S reserves the right to modify, update, or remove content at any time without prior notice.
b) Third-Party Content: Our website may contain links to third-party websites and content. Silicom Denmark A/S is not responsible for the accuracy or legality of third-party content, and linking to such content does not imply endorsement or affiliation. c) No Warranty: Besides the terms of our Warranty Policy, Silicom Denmark A/S provides its website and Products on an “as-is” and “as available” basis, without any warranties, express or implied. We do not warrant that our website will be error-free, uninterrupted, or free from viruses or other harmful components.

13. LIMITATION OF LIABILITY
a) To the maximum extent permitted by law, in no event shall our Company (or our owners, partners, licensors or affiliates) be liable to you or any third party for any costs of procurement of substitute products, business interruption, corruption or loss of data, failure to transmit or receive any data or information, loss of profit, any other commercial damages or losses, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of our Products or IP Solutions, or relating to your inability to use the Site or Products or IP Solutions, even if Silicom Denmark has been advised of the possibility of such damages. Access to, and use of, the Site and its products is at your own discretion and risk, and you will be solely responsible for any damage whatsoever.
b) To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to these Terms (for any cause whatsoever and regardless of the form of the action), will at all times be limited to the amount of your order in question. The existence of more than one claim will not enlarge this limit.
14. LEGAL ACTION
If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of Silicom Denmark, by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.
15. INDEMNITY
You acknowledge to defend, indemnify, and hold Silicom Denmark, our owners, distributors, affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable attorney’s fee, made by a third party, relating to, or arising from:
a) Your violation of ours or any third-party right; b) Your wrongful or improper use of our products or Site; c) Your violation of any applicable laws, rules, or regulations; d) Your violation of these Terms or any other policy of ours as associated with our services; e) The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our Products and IP Solutions.
16. GOVERNING LAW AND DISPUTE RESOLUTION
i. Governing Law: The Terms and any dispute arising from the same will be governed by the laws of the Kingdom of Denmark, except for its conflict of law principles.
ii. Amicable Settlement: In the event of a dispute, we encourage customers to contact us first to try to resolve the issue amicably. This is the fastest way the disputes could be resolved. If we are unable to reach a satisfactory resolution, the customer may choose to submit the dispute to mediation or arbitration in accordance with Denmark laws.
iii. Exclusive Jurisdiction: If mediation or arbitration is not feasible or if the dispute remains unresolved after mediation or arbitration, the customer may bring a claim in the courts located in Denmark. By using our website and services, the customer agrees to submit to the exclusive jurisdiction of the Denmark courts and waive any objections based on forum inconvenience or similar grounds.
iv. Rights under applicable law unaffected: Please note that this jurisdiction and dispute resolution section does not affect any mandatory rights that may apply under applicable consumer protection laws in the customer’s State/country of residence.
17. NOTICES
When you use the website or send emails to Silicom Denmark, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this website. Silicom Denmark will communicate with you by post or by email or by posting notices on this website. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address and/or by posting it to your address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to [email protected].
18. MISCELLANEOUS
i. Independent Legal Advice: It is your obligation to obtain independent legal advice at your own expense to ensure you understand the provisions of these Terms.
ii. Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
iii. Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our Site, at our sole discretion.
iv. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
v. Waiver: Our failure to insist on or enforce strict performance of these Terms & Conditions shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.
vi. Survival: Notwithstanding any other provisions of these Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms & Conditions, for any reason whatsoever.
vii. No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms & Conditions, there shall be no third-party beneficiaries to these Terms & Conditions.
viii. No Assignment: You may not assign these Terms & Conditions (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of Silicom Denmark, which may be withheld at Silicom Denmark’s sole discretion. Any attempted assignment that does not comply with these Terms & Conditions shall be null and void.
ix. Entire Agreement: The Terms, Warranty Policy, License Terms, Return Policy, Cookie Policy, and our Privacy Policy, together with any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between Silicom Denmark and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website.
x. Force Majeure: In the event of any Force Majeure event, such as acts of God (including natural disasters like floods, tempests, fires, or accidents), war, the threat of war, acts of terrorism, sabotage, insurrection, civil disturbances, or requisition, governmental, parliamentary, or local authority actions, restrictions, regulations, prohibitions, or measures, import or export regulations or embargoes, strikes, lock-outs, or other industrial actions or trade disputes (whether involving Silicom Denmark A/S employees or third parties), difficulties in obtaining raw materials, labor, fuel, parts, or machinery, or power failure or machinery breakdown, Silicom Denmark A/S shall not be liable for any resulting delays or failures in the performance of its obligations regarding the Products or IP Solutions. During such events, Silicom Denmark A/S will make reasonable efforts to mitigate the impact on its obligations and will resume its obligations when the impediment is removed.
